LEGAL AGREEMENT

Terms of Service

Effective Date: August 4, 2026

1. Acceptance of Terms

By accessing or using the CueArena software application, mobile application, desktop command center, spectator casting view (`cast.html`), or web services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Third-Party Rating Systems & FargoRate Disclaimer

CueArena is an independent tournament management software platform. CueArena is NOT affiliated with, endorsed by, sponsored by, or operated by FargoRate LLC, CueSports International (CSI), the Billiard Congress of America (BCA), or any third-party rating entity.

  • Permitted Use by Tournament Directors: Any search, verification, or lookup of FargoRate or third-party ratings conducted through the Service is performed by Tournament Directors or League Operators solely for non-commercial player rating verification in connection with their individual tournaments, as permitted under applicable fair use standards and third-party lookup terms.
  • No Guarantee of Rating Accuracy: CueArena displays third-party ratings "AS-IS" and assumes no responsibility or liability for outdated ratings, rating inaccuracies, API unavailability, or database discrepancies.
  • Dispute Release: Tournament Directors and players explicitly agree that CueArena and its owners, developers, and operators shall not be held liable for any tournament dispute, player disqualification, handicap miscalculation, or prize money allocation resulting from third-party rating data.

3. Tournament Director & Venue Responsibilities

Tournament Directors ("TDs") and Venue Owners are independent operators. CueArena provides software infrastructure only and is not a party to any agreement, entry fee collection, or prize distribution between TDs and players.

  • Cash & Prize Handling: TDs are solely responsible for collecting player entry fees, calculating and distributing prize pots, managing Player Auctions (Calcutta), and administering side pots (Break & Run). CueArena assumes zero liability for missing, stolen, or disputed prize funds.
  • Venue Authority: TDs warrant that they have full authorization from the venue owner to host events, assign tables, and manage floor space.

4. Platform Fees & Financial Settlement

CueArena provides tournament software at $0 upfront subscription cost and assesses a standard $1.00 per player entry fee ("Tech Fee") per tournament session.

  • Payment Processing: Tech fees are processed securely via Stripe. CueArena does not store, read, or process raw credit card data on its own servers.
  • Unpaid Balances & Account Lockouts: Outstanding ledger balances must be settled upon event completion. CueArena reserves the right to suspend venue accounts or TD access for unpaid account balances.
  • Non-Refundable Fees: Software usage fees paid to CueArena are final and non-refundable once a tournament session is initiated.

5. Acceptable Use & Anti-Vandalism Policy

Users agree not to engage in malicious conduct, including but not limited to: creating fake/spam venues, submitting fraudulent player entries, manipulating match scores, or attempting to compromise the security of the Service. CueArena reserves the right to terminate accounts, revoke venue management access, or issue bans for policy violations.

6. Limitation of Liability & Warranty Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. CUEARENA SPECIFICALLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF BRACKET GENERATION, OR UNINTERRUPTED NETWORK AVAILABILITY.

IN NO EVENT SHALL CUEARENA, ITS FOUNDER, OFFICERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, INCLUDING INTERNET DISRUPTIONS OR TOURNAMENT CANCELLATIONS.

7. Indemnification

You agree to defend, indemnify, and hold harmless CueArena, its founder, developers, and operators from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your conduct of any tournament session.
